These Terms of Service ("Terms") govern your access to and use of OrateOS, a product operated by Officina Systems ("we," "us," or "our"). By creating an account, subscribing to a plan, or using any part of the OrateOS platform, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use OrateOS. If you are using OrateOS on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
OrateOS is an AI-powered podcast operating system designed for self-published authors and catalog publishers. The platform provides agentic workflows across five divisions - Research, Production, Marketing, QC, and Lessons Learned - plus embedded SOPs and a live operational dashboard.
We reserve the right to modify, suspend, or discontinue any feature or the service as a whole at any time, with reasonable notice provided to subscribers where feasible.
OrateOS is offered on a subscription basis. You agree to pay the fees applicable to your chosen plan at the time of signup. Fees are billed in advance on a monthly or annual cycle, depending on the plan selected.
All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period.
Where a free trial is offered, your subscription will automatically convert to a paid plan at the end of the trial unless you cancel before the trial ends.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to OrateOS until that date.

We reserve the right to suspend or terminate accounts that violate these provisions, with or without prior notice depending on severity.
You retain full ownership of any podcast episodes, presentation materials, speaker materials, and original content you upload or input into OrateOS. We do not claim ownership over your creative work.
Outputs generated by OrateOS agents using your inputs - including research reports, descriptions, marketing copy, and QC checklists - are provided for your use. You are responsible for reviewing outputs before use and ensuring compliance with applicable laws and platform guidelines.
The OrateOS platform, including its interface, agent architecture, embedded SOPs, workflows, and branding, is the exclusive intellectual property of Officina Systems. Nothing in these Terms grants you any ownership interest in the platform itself.
To the maximum extent permitted by applicable law, OrateOS and Officina Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service - including but not limited to lost profits, lost catalog revenue, or business interruption.
Our total aggregate liability to you for any claims arising out of or related to these Terms or the service shall not exceed the greater of (a) the fees you paid us in the three months preceding the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow limitations on liability for certain types of damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
OrateOS is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or fit for any particular purpose.
You are solely responsible for decisions made based on OrateOS outputs, including podcast decisions, pricing, or marketing claims.
These Terms are governed by the laws of the jurisdiction in which Officina Systems operates, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through good-faith negotiation first. If unresolved, disputes will be submitted to binding arbitration.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the OrateOS dashboard. Continued use of OrateOS after such notice constitutes your acceptance of the updated Terms.
